Services Covered
- Private 1-on-1 tutoring sessions in Organic Chemistry, DAT, MCAT, OAT, PCAT, and related coursework
- Strategy Sessions — 30-minute diagnostic and planning sessions ($80, applied toward your first package)
- Custom study packages designed following intake form submission and Strategy Session completion
- Digital study materials, practice sets, and summary sheets — watermarked, licensed for individual use only
- Access to KhemWithKess booking platforms, digital tools, and direct communication channels
KhemWithKess provides cohort-based academic programs to colleges, universities, medical schools, dental schools, and other educational institutions under separate written Institutional Program Agreements. These Terms apply in addition to any signed agreement. In the event of conflict, the signed agreement governs.
- STEM Success Summit programs — Sprint (7 sessions), 10-Day Summit, Miler (14), Marathoner (21), Ultra (28), and Custom Build
- Pre-program diagnostic assessments distributed to all enrolled cohort students
- Live virtual session delivery, session recordings (30-day standard access), and post-program institutional reporting
- Licensed cohort materials — practice sets, summary sheets, supersheets (watermarked, per-cohort license only)
- Guest speaker program coordination (when selected as a paid add-on)
- Professional development talks and conference presentations (contracted separately)
Booking, Enrollment & Payment
- All individual student services begin with submission of the intake form at KhemWithKess.com. Intake is required before any Strategy Session is booked.
- The $80 Strategy Session fee is collected at booking and applied as a credit toward the student's first package.
- Session packages are quoted following the Strategy Session and are payable in full prior to the first scheduled session unless a written payment plan is agreed upon.
- Accepted payment methods: credit/debit cards, Apple Pay, Google Pay, Afterpay, Klarna, PayPal, and ACH bank transfer through the booking platform.
- Venmo, Cash App, Zelle, and personal payment apps are not accepted for any KhemWithKess service.
- Student balances not paid by the agreed due date are subject to the late fee structure in Section 3B of these Terms.
The following standard schedule applies to all institutional contracts unless a Net 30 or Net 60 alternative is approved in writing before signing.
- Payment 1: 50% of the total program fee is due upon contract signing. Non-refundable once curriculum development begins.
- Payment 2: 50% of the total program fee is due on or before Session 1. The program does not begin until Payment 2 is received.
- Contracts exceeding $40,000: A three-payment schedule may be offered at KhemWithKess's discretion — 40% on signing / 40% before Session 1 / 20% by Session 7.
- All institutional payments must be made via ACH bank transfer or institutional check payable to KhemWithKess LLC. No personal payment platforms are accepted.
- Proposals are valid for 30 days from the date of issue. After 30 days, pricing is subject to revision.
KhemWithKess recognizes that many colleges, universities, and medical institutions operate under Net 30 or Net 60 procurement cycles. Institutions requiring an alternative invoice schedule must request it before contract signing. The following conditions apply:
- Request must be made in writing before the contract is signed. Net 30 or Net 60 terms are not automatically available and must be confirmed in writing by KhemWithKess LLC.
- A signed Purchase Order (PO) or formal written payment commitment from the institution's accounts payable or procurement office is required before program commencement. The program does not begin until the PO or payment commitment is received.
- Net 30: Invoice is issued on Session 1 date. Full payment is due 30 calendar days from the invoice date. The late fee structure in Section 3A applies beginning on Day 31.
- Net 60: Invoice is issued on Session 1 date. Full payment is due 60 calendar days from the invoice date. The late fee structure in Section 3A applies beginning on Day 61.
- No alternative payment schedule is valid unless confirmed in a written addendum signed by both parties. Verbal agreements or email acknowledgments do not constitute approval.
- KhemWithKess reserves the right to decline a Net 30 or Net 60 request based on the institution's payment history, contract value, or other factors at KhemWithKess's sole discretion.

Late Payment
The following structure applies to all institutional program agreements. For standard 50/50 contracts, "past due" is measured from the missed payment date. For approved Net 30 or Net 60 contracts, "past due" is measured from the agreed invoice due date. All late fee terms are enforceable under Georgia commercial contract law.

| Day 45 past due | All services are immediately suspended. Written notice is delivered to the institution's primary contact and department chair. No sessions, recordings, or materials are released until full payment is received. |
| Day 60 past due | Legal action initiated. The institution is responsible for the full outstanding balance plus all attorney fees, court costs, and collection agency fees pursuant to Georgia Code §13-6-11. |
For Net 30 contracts: the 7-day grace period begins on Day 31 from the invoice date. Day-8 penalty fires on Day 38 from invoice. For Net 60 contracts: the 7-day grace period begins on Day 61. Day-8 penalty fires on Day 68 from invoice. The full escalation structure follows from those trigger points.
The following late fee structure applies to individual student balances when a payment plan has been agreed upon in writing, or when a session package invoice is unpaid past the agreed due date.

Student late fees apply to written payment plans and invoiced packages only. The $80 Strategy Session fee and standard pre-paid session bookings are collected at the time of booking and are not subject to this structure.
Intellectual Property & Material Ownership
All instructional content created and delivered by KhemWithKess LLC — including session recordings, presentations, worksheets, practice sets, summary sheets, supersheets, assessments, test-taking strategies, curriculum plans, and speaker materials — is the sole intellectual property of Kessey Jill Cham, MS, protected under applicable U.S. copyright law.
- Individual students receive a personal, non-transferable license for their own academic preparation only.
- Institutional partners receive a cohort-limited license for enrolled students during the contracted program period only.
- No materials may be duplicated, redistributed, rebranded, resold, uploaded to any platform, or shared outside the licensed scope without express written consent from KhemWithKess LLC.
- All distributed materials are watermarked and digitally tracked. Unauthorized reproduction will be pursued under applicable copyright law.
- Institutional partners may not adapt or repackage KhemWithKess curriculum under any other name or program without a separate written licensing agreement.
Session Recordings & Access
- Session recordings are provided solely for temporary personal or cohort review during the active program window.
- Individual students receive recordings for personal review only. Access windows vary by package and are specified at booking.
- Institutional cohorts receive standard 30-day recording access from each session date. Extended access is available as a paid add-on contracted before the program begins.
- Recordings may not be downloaded, edited, re-uploaded, shared on any platform, or distributed to non-enrolled individuals under any circumstances.
- Unauthorized recording of any live KhemWithKess session by students, institutional staff, or third parties constitutes a material breach of these Terms.
Cancellation & Rescheduling
- Cancellations made more than 24 hours in advance may be rescheduled at no charge, subject to availability.
- Cancellations within 24 hours of a scheduled session are subject to a 50% session fee.
- No-shows without prior notice forfeit the full session fee.
- The $80 Strategy Session fee is non-refundable once the session is completed.
- Unused sessions in a package may be applied toward a future package within 90 days at KhemWithKess's discretion. Refunds are not issued once sessions have begun.
- The 50% deposit paid at signing is non-refundable under any cancellation scenario once curriculum development begins.
- Cancellation after signing but before Session 1: the institution is liable for all costs incurred to date including curriculum development and preparation.
- Cancellation after Session 1: the institution is liable for the full contract value plus all accrued late fees and costs.
- KhemWithKess reserves the right to reschedule sessions due to circumstances beyond reasonable control. Makeup sessions are provided at no additional cost.
Outcomes Disclaimer
KhemWithKess LLC makes no guarantees regarding individual academic outcomes, standardized test scores, or admission results — including but not limited to MCAT, DAT, OAT, or PCAT scores; GPA improvements; or professional school admissions. Student outcomes depend on individual effort, consistent participation, and factors outside KhemWithKess's control. Program effectiveness is assessed using aggregate pre- and post-assessment data and student feedback.
Conduct Standards
- All participants — individual students and institutional staff — are expected to engage respectfully in all sessions and communications.
- Disruptive or abusive behavior during sessions may result in immediate removal without refund.
- Misuse of materials — including redistribution, plagiarism of KhemWithKess content, or violation of recording restrictions — may result in termination of services and legal action.
- Institutions are responsible for communicating these Terms to all enrolled students prior to Session 1.
Governing Law & Dispute Resolution
These Terms and all agreements with KhemWithKess LLC are governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the State of Georgia. This governing law applies to all clients regardless of their state of residence or the institution's state of incorporation or location.
